CWWI Agency Training Subscription Agreement

This agreement governs agency subscriptions to the Child Welfare Workforce Institute, a training initiative of Autumn King Consulting, LLC. An authorized agency representative may accept this agreement during online checkout or sign it for an invoice, purchase order, or customized arrangement.
1. SUBSCRIPTION ACCESS
CWWI provides access to the training pathways and courses included in the agency’s selected subscription. An FFA subscription includes courses designated for FFA staff, an STRTP subscription includes courses designated for STRTP staff, and shared courses may be included for both settings. Additional training may be added, updated, reorganized, replaced, or retired when needed. Unless a written order states otherwise, the fee is $30 per authorized user seat per month. For an online purchase, the subscription start date is the date CWWI sends the agency administrator written confirmation that the initial learner accounts are ready for use. For an invoiced, purchase-order, or customized subscription, the start date is the date stated in the order or CWWI activation notice.
2. USER ACCOUNTS AND SEATS
Every staff member must have an individual account. Accounts and login credentials may not be shared. Certificates, completion records, and training histories are issued in the name associated with the individual account. A seat may be reassigned when an employee leaves or no longer needs access, but the replacement user must receive a new account. Completed records and certificates remain associated with the original learner.
3. AGENCY ADMINISTRATOR
The agency will designate at least one administrator who may submit roster changes, enroll authorized employees, and use the progress-monitoring and reporting functions available on the platform. The administrator may access training status, completion information, and certificates for agency-sponsored users, but may not alter learner identities, combine accounts, or represent that one person completed training performed by another.
4. REFUND AND CANCELLATION TERMS
Initial 30-Day Refund. The agency may request a full refund of fees paid for its initial subscription by submitting the CWWI Refund Request Form within 30 calendar days after the subscription start date defined in Section 1: https://www.autumnkingconsulting.com/forms/2149746291. CWWI will verify eligibility using the activation notice and Stripe billing record. This one-time initial-subscription refund period does not restart when seats are added, the plan changes, or the subscription renews. When an approved full refund is processed, the subscription and learning access end. Refunds are returned to the original payment method; processing times may vary.
Cancellation After the First 30 Days. After the initial refund period, charges are nonrefundable and are not prorated, except where required by law. The agency may cancel at any time to stop the next renewal. Monthly access continues through the end of the current paid month. Annual access continues through the end of the current paid annual term.
How to Cancel. The agency may cancel through the Stripe Customer Billing Portal at https://billing.stripe.com/p/login/aFa3cva5c8ch8oO45U7Re00 or send a clear written request to aking@autumnkingconsulting.com. Cancellation is scheduled for the end of the current paid billing period and prevents the next renewal.
Read-Only Reporting Period. After a nonrefunded subscription ends, the agency administrator receives a 30-day read-only period to download available reports and certificates. Learners cannot begin or continue training, new users cannot be enrolled, and certificates cannot be newly earned during that period.
5. BILLING AND AUTOMATIC RENEWAL
The subscription renews automatically for the same billing period until canceled, unless the order states otherwise. Charges are based on the authorized seat quantity and billing schedule shown in the order, invoice, or Stripe subscription record. The agency authorizes the applicable recurring charges and is responsible for taxes and approved fees. Annual subscriptions that automatically renew will receive an advance renewal reminder. CWWI may suspend access when a payment is overdue or fails.
6. CHANGES TO SEATS AND AGENCY TYPE
The agency may request additional seats at any time. Added seats may be prorated or billed according to the order or Stripe settings. Seat reductions take effect on the next renewal unless CWWI approves an earlier change in writing. The agency must notify CWWI before changing agency access type or requesting a custom course combination.
7. TRAINING COMPLETION AND CERTIFICATES
Course completion requirements are defined inside each course. A certificate is issued only when the assigned learner completes the required activities while signed in to that learner’s own account. The agency is responsible for determining whether a course satisfies a particular licensing, accreditation, regulatory, contractual, or employer requirement.
8. PROFESSIONAL EDUCATION BOUNDARIES
CWWI provides professional education and practice-support resources. Training does not replace agency policy, supervision, legal advice, clinical judgment, emergency procedures, licensing requirements, or required reporting and escalation processes.
9. ACCEPTABLE USE AND TRAINING MATERIALS
The subscription grants the agency and its authorized users a limited, nonexclusive, nontransferable right to access included training during the paid term. Course materials may be used for the agency’s internal staff development. They may not be copied, recorded, resold, posted publicly, shared outside the authorized agency, used to create competing training, or used to train an artificial intelligence system without written permission.
10. PLATFORM AVAILABILITY AND CHANGES
CWWI will use reasonable efforts to keep the platform available but does not promise uninterrupted or error-free access. Maintenance, MoodleCloud changes, internet outages, security events, and circumstances outside CWWI’s control may affect service. CWWI may correct errors and update content, navigation, branding, or platform configuration.
11. AGENCY DATA AND PRIVACY
The agency will provide only the information reasonably needed to create accounts, manage enrollment, process payment, and report progress. The agency is responsible for having authority to submit employee information and for keeping administrator access secure. Learners and administrators must not enter confidential child, family, client, patient, or case information into the training platform.
12. SUSPENSION AND TERMINATION FOR CAUSE
CWWI may suspend or terminate access for nonpayment, account sharing, unauthorized copying or distribution, misuse of the platform, security threats, false account information, or another material breach. When reasonably practical, CWWI will provide notice and an opportunity to correct the issue. Termination for agency breach does not create a refund.
13. NO GUARANTEES AND LIMITATION
CWWI will provide the subscription and training professionally and in good faith but does not guarantee a specific employee performance, compliance, licensing, placement, safety, retention, investigation, or organizational outcome. To the fullest extent permitted by law, the aggregate liability of CWWI and Autumn King Consulting, LLC, arising from the subscription will not exceed the subscription fees paid during the six months preceding the event giving rise to the claim.
14. GENERAL TERMS
This agreement, the applicable order or invoice, and any written amendment form the entire agreement for the subscription. If a conflict exists, a later written amendment signed by both parties controls. Electronic signatures and counterparts are valid. This agreement is governed by the laws of the state where Autumn King Consulting, LLC, maintains its principal place of business, unless applicable law requires otherwise.
15. HOW THE AGREEMENT IS ACCEPTED
For an online purchase, an authorized agency representative accepts this agreement by selecting the required service-agreement checkbox and submitting payment through the CWWI checkout. The checkout record and successful payment confirmation document the agency’s acceptance. A separate signature page is not required unless CWWI requests one. An agency using an invoice, purchase order, negotiated terms, or another customized arrangement must sign the agreement or another approved written order before access is activated.
